Mergers and Acquisitions
My work includes assisting in structuring transactions, helping identify key legal issues for diligence and successfully closing acquisitions. I believe that the key to successful M&A transactions is the effective coordination of the diligence conducted by the business and legal subject matter professionals with the negotiating transaction team and my effective interaction with the business’s transaction leader/sponsor.
With my 35 years of experience, I work with inside counsel and key members of a client’s finance group to negotiate financing terms in credit agreements, Rule 144A debt offerings and public offering of notes and debentures. I have led teams in numerous equity offerings including IPOs, underwritten follow-on offerings, at-the-market offerings and private placements under Regulation D for both startups and funds.
After Sarbanes-Oxley and Dodd Frank, I have coordinated with clients’ finance groups to address the increased focus by company management on the accuracy and adequacy of periodic disclosures and other securities laws compliance. I provide guidance on future securities laws developments specifically applicable to our clients.
