David Reber represents clients in their business dealings, regulated and exempt securities offerings and M&A transactions and addresses issues of corporate governance and fiduciary duties. His work includes:

  • Mergers and Acquisitions: Represents buyers and sellers of businesses, including stock purchases and sales, asset purchases and sales and mergers. Representative transactions include stock and asset acquisitions or changes in control of public and private corporations in a broad range of industries, including banks, savings banks, life and casualty insurance companies, airlines, a major land owner, home builder, a sugar plantation, grocery chains, windfarms, a tuna packer, a construction company, an insurance agency, an integrated clothing manufacturer, a magazine publisher, an equipment company, an automotive parts wholesaler, a ship repair business, a clothing manufacturer, wholesaler and retailer and an alarm company.
  • Corporate Finance and Securities Regulation: Represents publicly-traded Hawaii corporations in connection with their SEC periodic reporting requirements, proxy solicitations, disclosure obligations and registered and unregistered securities offerings, including public offerings and private placements of stock, bonds, notes, trust preferred securities and tax-exempt securities and registration of dividend reinvestment and employee stock plans; state securities law compliance; responding to SEC investigations; obtaining SEC guidance and no-action letters; and representing start-up companies in exempt securities offerings.
  • Corporate Organization and Governance: Organizes for-profit and non-profit corporations, and prepares charter documents establishing complex capital structures, stock transfer restrictions, buy-sale and first refusal rights and supermajority voting requirements. Advises corporate directors concerning fiduciary duties, conflicts of interest and compliance with the Hawaii Business Corporation Act and other federal and state regulations.
  • Regulated Industries: Secures state and federal regulatory approvals, licenses and regulatory guidance. Transactions include obtaining approval of acquisitions and changes in control of banks, bank branches, insurance companies, electric utilities and cable television companies and obtaining insurance general agent, securities broker-dealer and investment-advisor licenses.

Mr. Reber served as Articles Editor of the Harvard Law Review and was an Associate Professor of Law at the University of Iowa College of Law (1968 - 1970). He practiced in Los Angeles for five years before joining the firm in 1975. In 2009, Mr. Reber was named “Hawaii Best Lawyers Corporate Lawyer of the Year”.
