Mr. Bernard Pinsky, Q.C. is Partner at Clark Wilson LLP and Chair of the firm’s Corporate Finance & Securities and United States (US) Law practice groups. His practice focuses on the involvement and financing of businesses in Canadian and US public markets. He also advises on a wide range of legal matters related to acquisitions, mergers, takeovers, initial public offerings, cross-border transactions, public company regulatory compliance, stock exchange practice and director liability protection. Mr. Pinsky obtained his Bachelor of Laws Degree, with Honours, from the University of Manitoba in 1978. He was called to the Province of British Columbia bar in 1980 and to the State Bar of California in 1999.
Professional Contributions and Service
Mr. Pinsky pioneered a field of expertise for British Columbian legal practitioners by creating British Columbia’s first large scale U.S. practice group with several U.S.-qualified lawyers. By doing so, Mr. Pinsky granted Canadian companies and organizations easier access to U.S. capital markets and vice versa. He provides businesses with the expertise and knowledge required to properly and legally perform complex multi-jurisdictional transactions. This is of tremendous value to not only public and private entities in Canada and the United States but also to other lawyers who frequently solicit Mr. Pinsky’s advice on how US law impacts their Canadian clients. Clark Wilson LLP now has a number of lawyers with considerable U.S. legal experience who practice in Clark Wilson’s Vancouver office. Other British Columbian firms have now followed Mr. Pinsky’s lead in this area.
Mr. Pinsky acts for public issuers listed on the TSX, TSX-V, CSE, OTCQB, OTCQX and NYSE as well as for brokers and investors. His clients are in the technology, mining, oil and gas, industrial and bio-tech industries and in Canadian, U.S. and international business. He takes companies public, helps them obtain financing and assists them with all regulatory compliance.
Mr. Pinsky is recognized as a “Best Lawyer” for Securities Law by the peer-reviewed Best Lawyers in Canada publication and his writing been featured in many other high-profile publications, including The Bottom Line, The Lawyers Weekly, Aspatore Books, Directors’ Duties in British Columbia and more. He is a frequent commentator in legal publications and has been quoted extensively in many prominent publications, including The Life Settlements Report, Canadian Press, The Lawyers Weekly, Canadian Lawyer magazine, Asian Counsel, The Bottom Line, Business in Vancouver and others.
He also has been a lecturer in many securities laws, directors’ duties and Continuing Legal Education courses and he is a frequent presenter at prominent seminars in company with other keynote speakers and industry leaders. He has also written literally hundreds of articles for the Securities Law Bulletin and the Securities Law Update, which are published by Clark Wilson and distributed to clients. Many securities lawyers in British Columbia also subscribe to receive Mr. Pinsky’s articles on cross-border securities issues.
Since 1981, Mr. Pinsky has worked with many charitable and volunteer organizations and foundations, including currently the Jewish Federation of Greater Vancouver, the Louis Brier Jewish Aged Foundation, and Cystic Fibrosis Canada, and in the past Multiple Sclerosis Canada, the Heart and Stoke Foundation, Parkinson’s Association of Canada, the Arava Institute for Peace and the Environment, Alzheimer’s Association of Canada, the Centre for Israel and Jewish Affairs, the March of Dimes, the United Way—Leaders Circle, and the Canadian Jewish Congress, among others. In several cases, Mr. Pinsky’s leadership role involved him being a director or officer of a national board of volunteer organizations. In 2012, Mr. Pinsky was awarded the Queen Elizabeth II Diamond Jubilee Medal in recognition of his long community service.
